These Terms of Service ("Terms") govern your access to and use of OptionsVault (the "Service"), operated by AU Ventures LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Risk Disclosure

Options trading involves significant risk and is not suitable for all investors. There is a possibility of losing all or more than the initial investment. It is important to use only risk capital, which is money that can be lost without affecting your financial security or lifestyle. Past performance does not guarantee future results.

2. Not Investment Advice

OptionsVault is a trading journal and analysis platform designed to help traders track and review their own trading activity. We do not provide recommendations regarding the purchase or sale of any securities, nor do we offer trading or investment advice.

All information displayed within the Service, including P&L calculations, strategy analytics, and performance metrics, is for informational and educational purposes only and should not be relied upon for making investment decisions. OptionsVault is not registered as a broker-dealer or investment advisor.

3. Hypothetical Performance

Any performance data, analytics, or statistics displayed in the Service are based on your actual trade data as imported from your brokerage or entered manually. Hypothetical or simulated performance results have inherent limitations and cannot fully account for the impact of financial risk in actual trading.

4. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these requirements.

5. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or unauthorized purposes.

6. Service Description

OptionsVault provides:

  • Automatic trade syncing from supported brokerage accounts
  • Options strategy detection and lifecycle tracking
  • P&L calculations and performance analytics
  • Trade journaling and note-taking
  • Portfolio and position tracking

Features may vary based on your subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

7. Broker Integration

The Service allows you to connect brokerage accounts through our integration partner, SnapTrade. By connecting a brokerage account, you:

  • Authorize us to access your read-only trade history via SnapTrade
  • Acknowledge that we do not execute trades or access funds on your behalf
  • Understand that trade data accuracy depends on the data provided by your broker
  • Accept that sync delays or errors may occur due to broker API limitations

We are not responsible for any inaccuracies in the data provided by your brokerage or SnapTrade. You should always verify trade data against your official brokerage statements.

8. Subscriptions and Payments

  • The Service offers free and paid subscription plans
  • Paid subscriptions are billed monthly or annually, as selected at the time of purchase
  • Subscriptions auto-renew at the end of each billing period unless canceled before the renewal date
  • Payments are processed securely through Stripe
  • We reserve the right to modify pricing with at least 30 days' advance notice
  • Price changes will take effect at the start of your next billing cycle

9. Refund Policy

Paid subscription fees are generally non-refundable. However, if you experience a significant service disruption or billing error, please contact us at support@optionsvault.app and we will review your request on a case-by-case basis.

10. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Use automated bots, scrapers, or similar tools to access the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Share your account credentials with others
  • Use the Service to transmit malware or other harmful code

11. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, software, and design — are the property of AU Ventures LLC and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any trading data you upload or sync to the Service. By using the Service, you grant us a limited, non-exclusive license to process and display your data solely for the purpose of providing the Service to you.

12. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Trade data synced from brokers will be complete or accurate
  • P&L calculations or analytics will be error-free
  • The Service will meet your specific requirements

13. Limitation of Liability

To the maximum extent permitted by applicable law, AU Ventures LLC and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, or other intangible losses
  • Trading losses based on information displayed in the Service
  • Errors or inaccuracies in trade data, P&L calculations, or analytics
  • Unauthorized access to or alteration of your data
  • Any interruption or cessation of the Service

Our total liability for any claim arising from the Service shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless AU Ventures LLC and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. You may cancel your account at any time through your account settings. Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your data in accordance with our Privacy Policy
  • Any outstanding payment obligations remain in effect
  • Provisions that by their nature should survive termination will survive

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in the State of Delaware.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
